The attorney in this position will be responsible for handling a full range of legal matters that arise in connection with the development, offering and maintenance of annuity products offered by the Prudential Annuity Business. The candidate must have a minimum of 10 years of corporate, law firm, in-house and/or regulatory legal experience involving state insurance laws and regulations, the Investment Company Act of 1940, the Securities Act of 1933 and the Securities Exchange Act of 1934 rules and regulations governing annuities.
This experienced attorney will provide counsel and advice to various internal business units as well as to other members of the Law Department. This attorney will draft and negotiate business arrangements in support of the marketing and sale of annuity products.
Primary Duties and Responsibilities :
Provide legal and regulatory advice to Prudential Annuities as issuer of annuities and in the ongoing administration and management of the annuity business.
Assist in the development and launch of variable and fixed annuities, as well as enhancements to existing products.
Draft and file variable and fixed annuity registration statements on Forms N-4, S-3 and S-1, and handle communications with the SEC staff. Coordinate filings with Prudential Annuities Product, Finance, Actuarial and Corporate Treasurer in connection with state and SEC product filings.
Review and provide advice on advertising, sales literature, and customer communications related to annuity products.
Negotiate fund participation agreements and revenue sharing agreements.
Attend meetings with the business and provide analysis and advice.
Coordinate with Compliance Department and Risk Management to provide legal analysis and advice in connection with the development of procedures and appropriate risk mitigation measures, the resolution of potential compliance issues and the conduct of regulatory examinations.
Keep law department and other personnel apprised of pertinent legal and regulatory developments impacting the annuity business.
Provide legal support on state and federal regulatory examinations or inquiries.
Provide legal support on state and federal regulatory issues impacting the annuities business, including advocating in front of regulators.
Provide legal analysis and support to annuity business in connection with underlying fund changes (i.e., mergers, liquidations, and substitutions).
Represent Prudential Annuities in industry committees and groups that evaluate legal issues that impact the annuities business.
Perform special projects assigned
Candidate will have at least 10 years of insurance and securities law experience including substantial expertise in the '33 Act, '34 Act and '40 Act, with excellent research, analytical, practical problem solving skills, and oral and written communication skills.
Candidate must have a solid academic background, have the capacity to work independently as well as be a collaborative team member. They should be detail-oriented and able to develop and implement new or enhanced processes for increasing the efficiency of regular responsibilities.
Candidate should have a background working with high level executives and/or officers of a company.
Candidate must have an excellent working knowledge of insurance and federal securities and tax laws governing variable and fixed annuity products.
Candidate should be knowledgeable of the related laws and regulatory practices governing different states.
Candidate must have a JD degree from an accredited law school, be admitted to practice law in at least one state, and obtain a Connecticut Authorized In-House Counsel and New Jersey In-House Counsel License, as applicable, within the required time.
